New director on Fonterra board

Fonterra shareholders have voted Michael Spaans on to the board of directors.

Spaans,  a director of DairyNZ, has a lot of experience with Fonterra as he was a shareholders’ councillor from 2000 to 2008.

Voters also re-elected incumbent directors Malcolm Bailey and Ian Farrelly, returning officer Warwick Lampp of electionz.com said.

Shareholders Scott Montgomery and Gerard Wolvers were elected unopposed as members of the directors’ remuneration committee.

The company’s managing director of people, culture and services Chris Caldwell has left the job after just 18 months in the role, citing personal reasons.

His resignation ended five years with the company. He was appointed managing director of people, culture and services in May last year, having previously been general manager of finance.

Caldwell’s responsibilities have been handed over to chief financial officer Lukas Paravicini with immediate effect, Fonterra said in a short statement.

Those tasks include programmes to enhance Fonterra’s culture, lead the development of staff and ensure “the group’s internal services are run efficiently and effectively to best serve the needs of our businesses and teams”, according to Fonterra’s website.

In the shareholders’ council elections, the following shareholders’ councillors were elected:

Ward 8 – Hamilton, Ross Wallis

Ward 21 – Coastal Taranaki, Vaughn Brophy

Both are new councillors.

 

In 11 other wards the following were elected unapposed:

Ward 3 – Northern Wairoa, Penny Smart

Ward 6 – Hauraki, Julie Pirie

Ward 9 – Morrinsville, Malcolm Piggott

Ward 12 – Cambridge, Kevin Monks

Ward 15 – South Waikato, Ian Brown

Ward 18 – Otorohanga, Duncan Coull

Ward 24 – Southern Taranaki, David Werder

Ward 27 – Southern Manawatu, Richard Syme

Ward 30 – Northern Central Canterbury, Ange Ward

Ward 32 – Southern Canterbury, John Gregan

Ward 33 – Otago, Ad Bekkers and Ivan Lines

All successful candidates will take office after the annual meeting on Wednesday, November 27.
